Software and Integrations End User License Agreement

This Software and Integrations End User License Agreement ("EULA") governs your access to and use of software, portals, applications, tools, workflows, websites, dashboards, automations, APIs, reports, communications features, support tools, administrative tools, and related services provided by Afortus, LLC ("Afortus," "we," "us," or "our"), including Afortus Portal, AMC, Contracting, Webinars, and connected third-party integrations (collectively, the "Software"). By accessing, authorizing, or using the Software, you agree to this EULA.
1. Relationship to Other Terms
This EULA supplements the Afortus Terms of Use, Privacy Policy, Electronic Record and Signature Disclosure Agreement where applicable, and any written agreement that applies to your Afortus account, agency, work, contracting, services, subscription, or business relationship. If this EULA conflicts with a signed written agreement between you and Afortus, the signed written agreement controls for that conflict. Third-party services connected to the Software are also governed by their own terms, policies, security requirements, service limits, and account rules.
2. Covered Software and Integrations
The Software includes Afortus-hosted and Afortus-managed systems used for agent, client, appointment, contracting, commission, webinar, reporting, document, electronic signature, communication, billing, accounting, support, administrative, automation, and operational workflows. The Software may connect to third-party services such as Google, Microsoft, email providers, SMS providers, webinar providers, CRMs, QuickBooks, Intuit, insurance carriers, document providers, analytics providers, security providers, payment processors, and other vendors or business systems (collectively, "Third-Party Services").
3. License
Subject to this EULA and any applicable written agreement, Afortus grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software only for authorized Afortus-related business, service, agency, contracting, client, support, or administrative purposes. No ownership interest in the Software is transferred to you.
4. Authorization and Eligibility
You may use the Software only if you are authorized by Afortus and, where applicable, by the organization, agency, carrier, client, account owner, or third-party service account you access or connect. You are responsible for making sure your use, permissions, connected accounts, data access, communications, records, and authorizations comply with applicable law, organizational policies, carrier rules, privacy obligations, accounting controls, contracts, and third-party service terms.
5. Accounts, Credentials, and Security
You are responsible for protecting passwords, authentication methods, devices, access links, invitation links, API keys, tokens, and account credentials. You must promptly notify Afortus if you believe any account, credential, device, token, authorization, or access link has been lost, misused, compromised, or used without authorization. Afortus may require password resets, token rotation, additional authentication, account review, or access changes to protect the Software and related data.
6. Third-Party Services
Third-Party Services are provided by their own providers, not by Afortus. Afortus is not responsible for third-party service availability, outages, errors, data accuracy, data retention, account settings, permission models, rate limits, pricing, security practices, terms, API changes, approval requirements, or discontinued features. Third-party names, logos, trademarks, and service marks belong to their respective owners. Afortus is not affiliated with, endorsed by, or sponsored by any third-party provider unless expressly stated in a separate written agreement.
7. Integration Access, OAuth, APIs, and Scopes
The Software may connect to Third-Party Services through OAuth, API keys, service accounts, delegated access, webhooks, file transfers, email connections, browser-based authorization, or other integration methods. The provider may ask you to sign in and grant requested scopes or permissions. If you authorize access, the provider may issue tokens, credentials, webhooks, account identifiers, or related authorization information that allows Afortus to operate the integration. Where OAuth is used, Afortus does not ask for or store your third-party account password.
8. Integration Data
Depending on the Software, the connected service, and the permissions you authorize, Afortus may access, receive, create, update, transmit, store, or process information such as account identifiers, contacts, clients, agents, users, organizations, appointments, calendars, emails, messages, documents, signatures, webinar registrations and attendance, CRM records, carrier records, contracting records, licensing records, commissions, invoices, bills, payments, deposits, journal entries, accounting records, files, reports, metadata, sync logs, error messages, delivery status, audit records, and other data needed to operate, secure, support, audit, or improve the Software.
9. Your Responsibilities
You are responsible for:
- confirming that you have authority to access, use, or connect the applicable systems and data;
- granting only appropriate permissions and promptly removing access that is no longer needed;
- maintaining accurate business, client, accounting, contracting, communication, webinar, carrier, and operational records;
- reviewing records, sync results, communications, reports, errors, duplicates, omissions, exceptions, and exported data before relying on them;
- maintaining your third-party service subscriptions, account security, user permissions, payment status, and provider compliance requirements;
- backing up, exporting, or retaining records where appropriate for your business, legal, tax, accounting, carrier, or regulatory obligations; and
- complying with laws, contracts, carrier requirements, privacy obligations, communications rules, accounting standards, tax obligations, and organizational policies.
10. Communications and Compliance
If the Software supports email, SMS, phone, fax, webinar, calendar, CRM, or outreach workflows, you are responsible for confirming that recipients, content, consent, opt-outs, suppression lists, sender identities, phone numbers, email domains, templates, and campaign settings comply with applicable law, provider rules, carrier rules, Afortus policies, and your organization's requirements. You may not use the Software to send spam, deceptive communications, abusive traffic, unlawful marketing, or unauthorized messages.
11. No Professional Advice
The Software is a business workflow and data-processing tool. It does not provide legal, tax, accounting, investment, financial, insurance, employment, compliance, audit, payroll, medical, or professional advice. Software outputs, reports, sync results, classifications, recommendations, communications, and records should be reviewed by qualified personnel and professional advisors before being used for tax filings, financial statements, legal decisions, insurance recommendations, carrier submissions, payroll, commissions, contracts, client advice, or business decisions.
12. Restrictions
You may not copy, modify, reverse engineer, decompile, disassemble, scrape, harvest, bypass controls, probe security, misuse credentials, overload systems, interfere with operation, use the Software for unlawful purposes, violate third-party rights, access data without authorization, resell or sublicense the Software, remove proprietary notices, or use the Software in a way that harms Afortus, Third-Party Services, carriers, agents, clients, users, vendors, or other parties.
13. Updates, Changes, Suspension, and Availability
Afortus may update, change, limit, suspend, or discontinue the Software or any feature at any time. The Software may depend on Afortus systems, Third-Party Services, network access, authorization status, API availability, scopes, webhooks, DNS, email delivery, rate limits, browser behavior, permissions, subscriptions, and other operational conditions. Afortus does not guarantee uninterrupted availability, compatibility with every configuration, or continued support for every integration or workflow.
14. Revocation and Disconnection
You may revoke some integrations through the applicable Third-Party Service or by contacting Afortus. Afortus may also disconnect or disable an integration if we believe continued access could create security, legal, operational, financial, carrier, accounting, compliance, privacy, or third-party service risk. Revocation, token expiration, permission changes, subscription changes, provider errors, or API changes may prevent the Software from operating until access is restored or reconfigured.
15. Confidentiality and Data Protection
You must protect confidential, personal, client, carrier, contracting, financial, accounting, credential, and business information accessed through the Software. Afortus uses administrative, technical, and physical safeguards designed to protect information, but no system can be guaranteed to be completely secure or continuously available. Afortus handles personal information as described in the Privacy Policy and applicable written agreements.
16. Intellectual Property
The Software, including code, workflows, interfaces, designs, templates, documentation, reports, automations, data models, trademarks, service marks, logos, and related materials, is owned by Afortus or its licensors and is protected by law. Feedback, suggestions, or improvement ideas you provide may be used by Afortus without restriction or compensation unless a separate written agreement says otherwise.
17. Support
Afortus may provide support through the channels, hours, and scope made available for the applicable Software or account. Support does not include responsibility for third-party service outages, provider terms, provider account configuration, unsupported customizations, user-managed devices, unauthorized changes, or problems outside Afortus control.
18. Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, compatibility, security, uninterrupted operation, error-free operation, or suitability for your business, accounting, tax, legal, insurance, contracting, webinar, CRM, communication, reporting, or operational needs.
19. Limitation of Liability
To the maximum extent permitted by law, Afortus will not be liable for indirect, incidental, special, consequential, exemplary, punitive, lost-profit, lost-revenue, lost-data, lost-goodwill, business-interruption, accounting, tax, penalty, interest, communication, delivery, duplicate-entry, omitted-entry, sync-error, integration, third-party service, or operational damages arising from or related to the Software. Afortus's total liability for claims related to the Software will not exceed the amount paid directly to Afortus for the Software giving rise to the claim during the twelve months before the claim arose, or one hundred dollars if no amount was paid.
20. Indemnification
You agree to defend, indemnify, and hold harmless Afortus and its owners, officers, employees, contractors, affiliates, service providers, and licensors from claims, losses, liabilities, damages, costs, and expenses arising from your use of the Software, your connected accounts, your data, your communications, your violation of this EULA, your violation of law, your violation of third-party service terms, or your violation of another person's rights.
21. Termination
Afortus may suspend or terminate access to the Software if we believe continued access could create security, legal, operational, financial, accounting, carrier, compliance, privacy, business, or third-party service risk, or if you violate this EULA or another applicable agreement. Upon termination, you must stop using the Software and any non-public Afortus materials, credentials, documentation, or access methods.
22. Governing Law
This EULA is governed by the laws of the State of Utah, without regard to conflict-of-law rules. Unless a separate written agreement requires otherwise, disputes will be brought in the state or federal courts located in Utah, and you consent to those courts' jurisdiction and venue.
23. Severability
If any provision of this EULA is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.
24. Waiver
Afortus's failure or delay in exercising or enforcing any right or provision of this EULA will not operate as a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Afortus.
25. Force Majeure
To the maximum extent permitted by law, Afortus will not be responsible for any delay, interruption, failure, data-delivery issue, synchronization issue, or inability to perform resulting from events or conditions beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, utility failures, internet or telecommunications failures, cloud or hosting outages, DNS failures, email-delivery failures, API or webhook failures, third-party service outages or changes, carrier or vendor disruptions, cyberattacks, governmental actions, changes in law, or other similar events.
26. Entire Agreement
This EULA, together with the Afortus Terms of Use, Privacy Policy, Electronic Record and Signature Disclosure Agreement where applicable, and any written agreement, order, subscription, authorization, or program document that expressly applies to the Software, constitutes the entire agreement between you and Afortus concerning your access to and use of the Software. If this EULA conflicts with a signed written agreement between you and Afortus, the signed written agreement controls for that conflict.
