These Terms of Use govern your access to and use of websites, portals, forms, software features, integrations, electronic signature workflows, scheduling pages, unsubscribe pages, and other online services provided by Afortus, LLC ("Afortus," "we," "us," or "our"). By accessing or using any Afortus online service, you agree to these Terms of Use. If you use an Afortus service on behalf of an agency, company, employer, client, or other organization, you represent that you have authority to do so.

1. Our Services

Afortus provides financial education, insurance and financial services support, agent and contracting workflows, appointment and outreach tools, internal and external portal features, reporting tools, electronic document and signature workflows, and integrations with third-party services. Some services are available to the public. Other services are available only to authorized users, agents, contractors, employees, affiliates, administrators, clients, or invited recipients.

2. Eligibility and Account Access

You may use public website content for lawful informational purposes. Private services may require an account, invitation link, authentication token, signed agreement, or other authorization. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account or access link. Notify Afortus promptly if you believe your account, token, password, device, or other access method has been compromised.

3. Acceptable Use

You agree not to use Afortus services to:

  • violate any law, regulation, carrier requirement, contractual obligation, or third-party right;
  • send or facilitate unsolicited bulk communications, deceptive communications, spam, phishing, malware, or abusive traffic;
  • misrepresent your identity, authority, license status, affiliation, appointment status, or relationship with Afortus;
  • attempt to gain unauthorized access to any system, account, database, application, or network;
  • copy, scrape, harvest, cache, reverse engineer, or automate access to the services except as expressly permitted by Afortus;
  • interfere with service operation, security, or availability;
  • upload or transmit unlawful, infringing, defamatory, misleading, confidential, or harmful content; or
  • resell, sublicense, or redistribute any service or content unless expressly authorized in writing.

4. Insurance, Financial, Tax, and Legal Information

Website and service content is provided for general informational and operational purposes. Afortus does not provide tax, legal, accounting, investment, or estate-planning advice through the public website. Insurance and financial products are subject to carrier rules, underwriting, licensing, state availability, suitability standards, and the terms of the applicable policy, contract, disclosure, illustration, or carrier document. Product features, rates, guarantees, fees, exclusions, riders, and availability can change. No website content guarantees that any product, appointment, application, commission, lead, result, tax treatment, or financial outcome will be available or appropriate for any person.

5. Agent Opportunity and Contracting Information

Information about the Afortus agent opportunity is informational and does not guarantee employment, appointment, licensing, contracting approval, compensation, leads, sales, commissions, bonuses, renewals, or business results. Unless a separate written agreement states otherwise, agents and representatives are independent professionals and are not employees of Afortus. Contracting, appointment, compensation, fee, advance, chargeback, and carrier terms are governed by the applicable written agreements and carrier documents.

6. Electronic Records and Signatures

Afortus may provide notices, disclosures, agreements, authorizations, acknowledgments, and other documents electronically. By using electronic signature or electronic document workflows, you agree that electronic records and signatures may have the same legal effect as paper records and handwritten signatures where permitted by law. Some workflows are subject to the Afortus Electronic Record and Signature Disclosure Agreement, which may be presented separately and may include additional signer-specific terms.

7. Third-Party Services and Integrations

Afortus services may link to or integrate with third-party systems, including insurance carriers, email and messaging providers, analytics providers, security providers, accounting systems, QuickBooks, Intuit, Microsoft, Google, reCAPTCHA, payment processors, and other vendors. Third-party services are controlled by their providers and may be governed by separate terms, privacy policies, service limits, fees, outages, and security practices. Afortus is not responsible for third-party services, content, or availability.

8. Software and Integrations

Use of Afortus software, portals, applications, automations, APIs, reporting tools, communication tools, webinar tools, contracting tools, and connected third-party integrations is also governed by the Afortus Software and Integrations End User License Agreement. Users are responsible for confirming that connected services, permissions, synced data, communications, records, and workflow outputs are complete, accurate, authorized, and appropriate for their business, accounting, tax, carrier, client, and compliance obligations.

9. Scheduling, Outreach, Email, SMS, and Fax Communications

If you submit a form, schedule an appointment, request information, authorize outreach, or provide contact information, Afortus may contact you using the information you provide. Consent to receive marketing text messages is not a condition of purchase. Message and data rates may apply. Message frequency varies. You may opt out of text messages by replying STOP where supported, and you may request communication changes by contacting Afortus. Transactional, security, account, appointment, legal, and service communications may continue where permitted by law.

10. Payments, Fees, and Billing

Some services, programs, agreements, or integrations may involve fees, payment authorizations, deductions, subscriptions, renewals, refunds, chargebacks, or other billing terms. Those obligations are governed by the applicable written agreement, order, invoice, carrier document, payment authorization, or program document. If you provide payment information, you represent that you are authorized to use it and that the information is accurate.

11. User Content and Submitted Information

You are responsible for information, documents, signatures, messages, files, comments, form submissions, and other materials you provide. You represent that you have the right to provide those materials and that they are accurate to the best of your knowledge. You grant Afortus the right to use submitted materials as needed to operate, secure, support, document, audit, and improve the services, fulfill requests, process applications, communicate with you, comply with law, and enforce agreements.

12. Privacy and Security

Afortus handles personal information as described in the Privacy Policy. You agree to use reasonable care when accessing Afortus systems, including protecting passwords, devices, access links, and confidential information. No system can be guaranteed to be completely secure or continuously available.

13. Intellectual Property

Afortus websites, content, designs, software, workflows, documentation, trademarks, service marks, logos, forms, reports, and related materials are owned by Afortus or its licensors and are protected by law. You may not copy, modify, distribute, display, create derivative works from, or exploit those materials except as expressly permitted by Afortus or by applicable law.

14. Changes to Services and Terms

Afortus may update, suspend, restrict, or discontinue any service or feature at any time. We may update these Terms of Use from time to time. The updated version will be posted with a new "Last Updated" date. Continued use of the services after an update means you accept the updated terms.

15. Suspension and Termination

Afortus may suspend, limit, or terminate access to any service if we believe doing so is necessary to protect users, systems, data, legal rights, business operations, carrier relationships, or compliance obligations, or if you violate these Terms of Use or another applicable agreement.

16. Disclaimer of Warranties

To the maximum extent permitted by law, Afortus services and content are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, or uninterrupted operation.

17. Limitation of Liability

To the maximum extent permitted by law, Afortus and its owners, officers, employees, contractors, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, business opportunity, commissions, or revenue, arising from or related to the services or these Terms of Use. To the maximum extent permitted by law, Afortus's total liability for any claim will not exceed the amount you paid directly to Afortus for the service giving rise to the claim during the twelve months before the claim arose, or one hundred dollars if no amount was paid.

18. Indemnification

You agree to defend, indemnify, and hold harmless Afortus and its owners, officers, employees, contractors, affiliates, service providers, and licensors from claims, losses, liabilities, damages, costs, and expenses arising from your use of the services, your submitted information, your violation of these Terms of Use, your violation of law, or your violation of another person's rights.

19. Governing Law

These Terms of Use are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Unless a separate written agreement requires otherwise, disputes will be brought in the state or federal courts located in Utah, and you consent to those courts' jurisdiction and venue.

20. Severability

If any provision of these Terms of Use is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

21. Waiver

Afortus's failure or delay in exercising or enforcing any right or provision of these Terms of Use will not operate as a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Afortus.

22. Force Majeure

To the maximum extent permitted by law, Afortus will not be responsible for any delay, interruption, failure, or inability to perform resulting from events or conditions beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, labor disputes, utility failures, internet or telecommunications failures, cloud or hosting outages, third-party service failures, carrier or vendor disruptions, cyberattacks, governmental actions, changes in law, or other similar events.

23. Entire Agreement

These Terms of Use, together with the Privacy Policy, the Software and Integrations End User License Agreement where applicable, the Electronic Record and Signature Disclosure Agreement where applicable, and any other policy, disclosure, order, authorization, or written agreement that expressly applies to the applicable service, constitute the entire agreement between you and Afortus concerning your use of the applicable Afortus online service. If a signed written agreement conflicts with these Terms of Use, the signed written agreement controls for that conflict.
