This Electronic Record and Signature Disclosure Agreement ("ERSD") applies to Afortus contracting and electronic signature workflows. Some signing sessions may display a signer-specific copy that includes the signer's name, email address, acceptance timestamp, session identifier, or other audit evidence.

From time to time, Afortus, LLC ("Afortus," "we," "us," or "our") may be required by law or contract to provide written notices, disclosures, authorizations, acknowledgments, agreements, and other documents. This ERSD describes the terms and conditions for receiving, reviewing, acknowledging, and signing those documents electronically through an Afortus electronic system.

Please read this ERSD carefully. If you can access this information electronically to your satisfaction and agree to use electronic records and signatures, you may confirm your agreement in the applicable signing workflow. By agreeing, you consent to receive, read, acknowledge, and sign documents electronically for the Afortus contracting relationship and related workflows.

Documents Provided Electronically

The documents provided electronically may include:

  • Afortus non-exclusive license and marketing agreements;
  • Afortus agent agreements, commission schedules, sales lead agreements, fee schedules, and payment authorizations;
  • Afortus non-compete, non-disclosure, confidentiality, compliance, or similar agreements;
  • insurance carrier independent producer contracts, appointment applications, authorizations, standards, practices, annualization advance agreements, direct deposit authorizations, assignments of commissions, and related documents; and
  • all notices, disclosures, authorizations, acknowledgments, and other documents that are required to be provided or made available to you by Afortus during the course of your relationship with Afortus.

Getting Paper Copies

You may request a paper copy of any record provided or made available electronically by Afortus. You will generally have the ability to download and print documents during or immediately after the signing session. If you complete your account setup with Afortus, you may have access to certain documents during the course of your relationship with Afortus.

After that time, if you request paper copies to be sent from our office, you may be charged a $3.00 per-page fee. You may request paper copies using the contact procedure below.

Withdrawing Consent

You may withdraw your consent to receive notices and disclosures electronically. If you withdraw consent, it may slow or prevent completion of contracting, appointment, document, or service workflows because Afortus may need to provide paper documents and wait for paper acknowledgments or signatures. You may no longer be able to use Afortus electronic systems to receive or sign documents.

Electronic Delivery

Unless you tell us otherwise using the procedures in this ERSD, Afortus may provide required notices, disclosures, authorizations, acknowledgments, and documents electronically by email, through the Afortus Agent Portal, through an Afortus contracting workflow, or through another Afortus electronic system.

Updating Your Email Address

It is your responsibility to provide Afortus with a true, accurate, and complete email address and to maintain and promptly update changes to your contact information. If you need to update the email address used for electronic records and you have not completed account setup with Afortus, send an email to updates@afortus.com with your previous email address and new email address. If you have completed account setup, self-service tools may be available to update your information.

Requesting Paper Copies

To request paper copies of notices or disclosures previously provided electronically, email contracting@afortus.com and include your email address, full name, mailing address, and telephone number.

Withdrawing Consent

To inform Afortus that you no longer wish to receive future notices and disclosures electronically, you may decline to sign within the applicable signing session if that option is presented, or you may email contracting@afortus.com and include your email address, full name, mailing address, and telephone number.

Required Hardware and Software

To access, view, sign, download, print, and retain electronic records, your device must meet the minimum system requirements and capabilities for Afortus electronic systems. Current requirements are posted at Required Hardware and Software. Requirements may change over time. If your device does not meet the requirements, including security or cryptographic requirements, you may be unable to use the electronic system until requirements are met.

Documents in Writing

Documents, notices, disclosures, authorizations, acknowledgments, and other records provided electronically or in paper form will be considered "in writing." You should print or download a copy of this ERSD and any other important document for your records.

Applicable Law

You acknowledge that your consent to electronic documents, notices, disclosures, authorizations, acknowledgments, and signatures is provided in connection with transactions affecting interstate commerce and subject to applicable federal and state law governing electronic records and signatures. You and Afortus intend those laws to validate our ability to conduct business electronically to the fullest extent permitted.

Termination and Changes

Afortus may discontinue, terminate, or change the terms and conditions for providing electronic documents, notices, disclosures, authorizations, acknowledgments, and signatures. Afortus will provide notice of termination or change as required by applicable law.

Severability

If any provision of this ERSD is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted by law, and the remaining provisions will remain in full force and effect.

Waiver

Afortus's failure or delay in exercising or enforcing any right or provision of this ERSD will not operate as a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Afortus.

Force Majeure

To the maximum extent permitted by law, Afortus will not be responsible for delays or interruptions in electronic delivery, access, acknowledgment, or signature workflows resulting from events or conditions beyond its reasonable control, including internet or telecommunications failures, email-delivery failures, cloud or hosting outages, third-party service disruptions, security incidents, governmental actions, changes in law, or other similar events. This provision does not limit any right you may have to request paper records or withdraw consent as described in this ERSD.

Entire Agreement as to Electronic Records and Signatures

This ERSD, together with the posted Required Hardware and Software requirements and any signer-specific disclosure presented in the applicable signing workflow, constitutes the entire agreement between you and Afortus concerning consent to electronic records, disclosures, delivery, acknowledgments, and signatures for the applicable workflow. It does not replace or modify the substantive terms of any separate contract, carrier document, authorization, or other agreement.

Your Consent

By selecting or confirming "I agree to use electronic records and signatures" or a similar control in an Afortus signing workflow, you confirm that:

  • you agree to this ERSD;
  • you can access and read this ERSD;
  • you can print, save, or send this ERSD to a place where you can print or save it for future reference;
  • you can receive electronic documents using hardware and software that meet the posted requirements; and
  • until you notify Afortus otherwise, you consent to receive electronically all notices, disclosures, authorizations, acknowledgments, and other documents that are required to be provided or made available to you by Afortus during the course of your relationship with Afortus.
